AVEVA achieved a good close to its financial year, despite the challenges related to Covid-19. The safety of AVEVA’s employees is paramount and the business has adapted well to remote working.

Community involvement

We have pledged to donate the equivalent of 1% of our net profits to support employee-led charitable programmes around the world using paid leave. In the year, we had 1,536 employees participate in a huge range of inspiring activities. In total, we donated £523k of time and money in support of these and other causes.

Governance

Following the resignation of Emmanuel Babeau, we were delighted to welcome Olivier Blum to the Board and as a member of the Remuneration Committee. Olivier is a highly accomplished executive and has in-depth knowledge and experience gained from his various strategic and operational roles within HR and Strategy. We were also pleased that Peter Herweck took over the role of Vice-Chairman of the Board.

During the year, in addition to its regular business, the Board has:

  • Refined its processes to support compliance with the 2018 Corporate Governance Code;
  • Approved the new Remuneration Policy;
  • Participated in an externally facilitated board evaluation;
  • Enhanced its stakeholder engagement mechanisms; and
  • Approved an all employee share scheme to allow our people to share in the success of AVEVA.

Matters reserved for the Board

Much of our work has focused on strategy and increased stakeholder engagement. Enhancing the Board’s workforce engagement mechanisms has been a particular focus area. During the past year individual Board members undertook visits to various office locations to gain first-hand knowledge of local issues and to meet with employees at all levels of the Company.

The Board has also continued to support the ELT with its Company-wide initiatives on diversity and inclusion, culture and the AVEVA LIFE values.

Committees

The Board maintains a list of Matters Reserved for the Board. Our Board is assisted by the Nomination, Remuneration and Audit Committees and certain powers have been delegated to these Committees. Each committee has clear terms of reference which are reviewed annually to ensure their relevance.

The Board receives detailed and focused reports from the Executive Leadership Team, other senior managers and external advisors that cover all areas of the Board’s responsibility to assist the Board with its deliberations.
